Brief Profile and Activities
of UBE INDUSTRIES LIMITED
We are pleased to introduce ourselves as we are a corporate body established under the Indian Companies Act of 1956 as a Public Limited company and the company was incorporated with the Registrar of Companies, Andhra Pradesh as Weldflux Engineering limited vide its incorporation No.01-05284 of 1984-85 dated 31 January, 1985 and obtained commencement of business certificate on 18 May 1985 with its main objectives as Engineering and Manufacturing of Welding Consumables and Equipment. The company has initiated to seek the technical collaboration from Europe and after studying various aspects of 15 companies from Europe; Technical Collaboration agreement was entered during September, 1985 with Trefeleries Et Ateleries De Commercy of France.
The Technical Collaboration envisages for the technical cooperation in manufacturing of welding consumables equipment and other welding products, welding related products including Robotics.
During that period, 1985, there was lot of procedures in obtaining the Technical Collaboration approval from the Government of India, and it was generally known as License Raj. The technical collaboration approval has taken 4 years to get approval from the Government of India.
Subsequently, the company has started exploring its project implementation activities and established its manufacturing unit in Nemarigomla Village, Nalgonda District, Andhra Pradesh and gone for IPO during March 1992.
The company has changed its name from Weldflux Engineering Limited to Weldflux India Limited as the focus of the company was also added with the welding consumables as a priority sector. The company has obtained its fresh incorporation certificate dated 17 June 1991.
The company has come into production during the third quarter of the financial year 1992-93 and was in operation till financial year 1995-95. The turnover of the company during the financial year 1995-96 was Rs 23.60 Crores.
The company has been in operation with three divisions known as Welding, Projects and Engineering Divisions.
Welding Division was in operation for the manufacturing of welding consumables, welding equipment and machinery, etc.
Projects Division, known as PCC (Projects, Construction and Contracts Division) was in operation as installation Turn Key Projects, Engineering, Procurement and Construction and heavy fabrication.
Engineering Division (Tools Division) was in operation for the manufacturing of Special Purpose Machine Tools and Tooling Systems.
The company has changed its name from Weldflux India Limited to UBE Industries Limited as the focus of the company was a multi product and multi unit/location operations. The company has obtained its fresh incorporation certificate dated 20 June 1996.
Subsequently, in 1996, to mark the centenary of automotive industry, the company has initiated the Automotive Division, to assemble the low cost automobiles for India, the first one lakh car in India. The company has been exploring the Technical Collaboration, and advance discussions have been concluded with Matra Automobiles of France, a subsidiary company of Renault of France.
The basic reasons for initiating the Automotive Division was, as the company was manufacturing SPMs for the automotive industry and more than 85% was being exported, therefore, the company has obtained the IEM (industrial license) for the assembly of India’s first Rs.1.00 lakh car and restructuring the infrastructure to suit the assembly of automobile in the year 1996 which was also happen to be the centenary of the automotive industry itself.
However, the Department of Industries, Government of Andhra Pradesh has initiated the cancellation of the IEM with pretext of the company is situated within 25 kms of urban limits; however, it is not, hence, the company was to stall the operations.
During the stalling of the operations the company has been supplying the spare parts to its earlier supplied projects and machines and not undergone any financial losses.
The company has been in the process of reviving its operations again successfully, however, the company could not be successful in spite of presentation to the Investment Promotion Board of Andhra Pradesh and all other efforts were in vain, therefore, the company has been formulating to demerge its activities by transferring all the assets to the demerged companies and initiating new line of activities by converting the existing company as a holding company and new activities like Infrastructure Development.
As the result of the demerger scheme, the operations of the four divisions will be transferred to the following companies, which have been incorporated for the Implementation of de-merger scheme of the company. After the approval accorded by the Honorable High Court of Andhra Pradesh, under section 391/394 of the Indian companies act,1956 then, these companies will become the subsidiary companies to UBE Industries Limited.
Under the revival of its operations, the company is in operations and carrying the activities as follows.
Automotive Division: The Company is in the process of establishing an Automobile Assembly Unit with the Technical Co-operation with an internationally reputed manufacturing unit and the discussions are at the advanced stage to conclude the Memorandum of Understanding.
Projects, Construction and Contracts Division: The Company undertakes the EPC (Engineering, Procurement and Construction) projects and Turnkey Projects in the Chemical, Food Processing and Pharmaceutical industries and also undertakes heavy structural fabrication works. The company undertakes from basic design to commissioning of the projects. The company has concluded few projects and the basic designs are in progress.
Engineering (Tooling and Tooling Systems & SPMs) Division: The Company undertakes the custom built special purpose machines in the machining & metal cutting mass production lines and welding based mass production lines. The company also undertakes the Tooling & Tooling Aids and Tooling Systems for mass production industries. The company undertakes from basic design to commissioning of the projects. The company has concluded few projects and the basic designs are in progress.
Welding Division: The Company manufactures the welding consumables, such as Manual Metal Arc Welding Stick Electrodes, Submerged Arc Welding Fluxes, and welding machines and accessories. The operations have been re started.
Infrastructure Development Division: The Company undertakes to develop in association with other corporate bodies, the Infrastructure Projects and few projects (Government and Non Government) have been initiated and the works are in progress.
Engineering Consultancy Division: The Company undertakes to study and advise the clients in Engineering Projects, in production methods and optimum utilization of resources.
